By accessing and using the functions, services and content available on this Website, you agree to be bound by the terms and conditions set forth below (the "T&C"). This Website is hosted by BtoBSource.com, a division of Deluxe Corporation ("BtoBSource"), a third party vendor with whom Staples, Inc. ("Staples") has teamed to bring you high quality custom-printed products. BtoBSource reserves the right to update or modify the T&C at any time without prior notice and therefore encourages you to review the T&C whenever you use this Website. Your continued use of this Website constitutes assent to the revised T&C.

1. Availability
   BtoBSource endeavors to make this Website available 24 hours a day, 7 days a week. However, there will be occasions when this Website will be interrupted for maintenance, upgrades and emergency repairs or due to failure of telecommunications links and equipment or other reasons beyond its control. You agree that neither Staples nor BtoBSource will be liable to you for any modification, suspension or discontinuance of this Website.
2. User Privileges and Obligation
   You may be required to register as a member in order to make all aspects of this Website available to you. To purchase from or register as a member of this Website you must be over the age of 13. You agree that the information that you provide will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up to date at all times. This is especially important with respect to your e-mail address, since that is the primary way in which Staples or BtoBSource will communicate with you about your account and your orders.

You may not use this Website in any manner that is unlawful or harmful to Staples, BtoBSource or their affiliates, distributors, customers, suppliers or any other party. You agree you will NOT use this Website to: (i) post or otherwise communicate any material that is pornographic, threatening, abusive, harmful, an invasion of privacy or publicity rights, defamatory or otherwise objectionable (as determined by BtoBSource, in its sole discretion); (ii) post, order for print, e-mail or otherwise transmit any material that you do not have a right to transmit or which infringes any copyright, trademark, or other intellectual property right of any party; (iii) disguise the origin of any content transmitted to or through this Website; ( iv) upload, post, e-mail or otherwise transmit any material which is likely to cause harm to this Website or anyone else's computer systems; ( v) transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation; (vi) impersonate any person or entity, or otherwise to misrepresent your affiliation with a person or entity; (vii) interfere with or disrupt (or attempt to interfere with or disrupt) this Website or servers or networks connected to this Website, or to disobey any requirements, procedures, policies or regulations of networks connected to this Website; (viii) provide any information that is false or misleading, that attempts to hide your identity or that you do not have the right to disclose; or (ix) resell this Website or any portion of this Website.
      
3. User Submitted Content
   1. You may submit text and images or other content to this Website ("User Content.") Images that are provided to you by professional photographers or made available through websites, magazines, books or other resources, are protected by copyright and should not be uploaded, shared or copied using this Website. You represent and warrant that you are the owner of any User Content or other wise have the legal right to submit the User Content. You grant Staples and BtoBSource permission to (1) use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, translate and reformat the User Content, and (2) sublicense these rights, to the maximum extent permitted by applicable law.
      
   2. You should make backup copies of any User Content submitted to this Website. Neither Staples nor BtoBSource is liable to you for the loss of any User Content.
      
   3. You agree that BtoBSource has the right to remove any User Content that violates these T&C or BtoBSource finds objectionable.
      
   4. BtoBSource may not screen User Content before it is uploaded or posted to this Website. Consequently you should not rely on the accuracy or reliability of any User Content and each of Staples and BtoBSource take no responsibility or liability therefore. If you believe any User Content violates your intellectual property rights, please notify BtoBSource's Copyright Agent by following the directions under the "Copyright Violations" paragraph below.

Users this Website agree, by using this Website, that they will not use this Website to produce products that are unlawful, libelous, harassing, threatening, harmful, malicious, offensive, obscene, objectionable, or otherwise violate any party's rights in any manner. All materials on the Website, including, but not limited to, images, illustrations, posts, audio clips and video clips (the "Materials") are the property of Staples and its affiliates and licensors and are protected from unauthorized copying and dissemination by copyrights that are owned or licensed by Staples and by copyright law, trademark law, international conventions and other intellectual property laws. You may not reproduce, perform, create derivative works from, republish, upload, post, transmit, or distribute in any way whatsoever any Materials from the Website (or any other website owned or operated by Staples or its subsidiaries or affiliates) without Staples' prior written permission. However, you may print in hard copy portions of the Website with the sole intent of placing an order with Staples or applying for credit. 8. Application Law and Jurisdiction
   These T&C shall be governed by and construed in accordance with the laws of the State of Minnesota. Any disputes arising under or in connection with these T&C shall be subject to the exclusive jurisdiction of the state and federal courts of the State of Minnesota. You consent jurisdiction and venue in the state and federal courts of the State of Minnesota.
9. Transfer of Title
   You agree that shipping terms for all products on this Website are "FOB shipping point", meaning that ownership transfers to you at the time of shipment. The risk of loss and title for items shipped transfer to you at the time BtoBSource turns the items over to the shipping carrier for delivery to you.
10. Disclaimer of Warranty and Limitation of Liability
    The service is provided "as is" with no warranties whatsoever. All express, implied, and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed. To the fullest extent permitted by law, Staples® and btobsource disclaim any warranties for the security, reliability, timeliness, and performance of the service. You understand and agree that the submission of any user content to the service, and the download or upload of any material through the service is done at your risk and that you will be solely responsible for any loss or damage to your user content or any damage to your computer system or loss of data that may result in the download or upload of any material. You are solely responsible for creating back-ups of your user content.
    Except as expressly provided in the preceding paragraph, to the fullest extent allowed by law, neither Staples® nor btobsource will be liable for any indirect, incidental, consequential, special, exemplary, and punitive damages resulting from the use or provision of the service, the website and all related products and services, even if that party has been advised of the possibility of such damages.     By using this Website you agree to protect, defend and indemnify Staples, BtoBSource and their parents, subsidiaries, affiliates, directors, officers, consultants and employees and hold them harmless from any and all claims and expenses, including attorney's fees, arising from any User Content or your other use of this Website.

    BtoBSource's failure to enforce any right or provision in these TC shall not constitute a waiver of such right or provision. BtoBSource reserves the right, in its sole discretion, to modify or terminate all or any portion of this Website at any time and for any reason. BtoBSource reserves the right, in its sole discretion, to terminate your membership to this Website, or to remove your User Content or to edit, delete or remove any postings from this Website without prior notice for any reason.
    All prices are stated in U.S. dollars and are valid until altered by BtoBSource. Prices do not include taxes, shipping, handling and processing fees, or any import duties that may be added by the order destination country. In the event that you order products and the price published on this Website was incorrect, BtoBSource will contact you to let you know the correct price and ask you whether you still wish BtoBSource to fulfill your order at the correct price. Any dates specified for delivery of any products are intended to be an estimate only.
